Affiliate Program Terms

These Affiliate Program Terms (“Terms”) govern participation in the OnArk Affiliate Program (the “Program”), operated by Kuzu Media LLC (“OnArk,” “we,” “us”). By applying to and participating in the Program, you (“Affiliate,” “you”) agree to these Terms.

Participation is by application and approval: we review every application, and approval is at our discretion. The program itself is described on our affiliates page.

1. Definitions

• “Affiliate”means an individual, entity, or organization approved to participate in the Program. Current employees and contractors of OnArk, and employees, contractors and affiliates of OnArk's current customers, are not eligible to participate.
• “Church” means a church, ministry, or other organization eligible to purchase a subscription to OnArk.
• “Referred Church” means a Church whose signup is attributed to your Referral Link under Section 3.
• “Qualifying Payment”means a successful, non-refunded payment by a Referred Church for an OnArk subscription, made within 365 days of that Church's first such payment. Payments for one-off services, including Welcome Aboard and consulting engagements, are not subscription payments and are not Qualifying Payments.

2. Approval and referral link

On approval we issue you a unique referral link (your “Referral Link”). The Referral Link is personal to you, and you may not transfer, resell or sub-license it.

We may decline any application, and may suspend or end your participation under Section 8.

3. Attribution

A Church is a Referred Church if it signs up through your Referral Link within 90 days of clicking it, on first-clickattribution: if a Church clicks more than one affiliate's link, the first one it clicked governs for those 90 days.

A Church may be attributed to only one Affiliate. Attribution is determined by our systems, and our records are the record of what was attributed. You may not claim attribution for a Church that did not arrive through your Referral Link.

4. Commission

• Rate and basis. For each Referred Church you earn 25% of the subscription revenue we actually collect from that Church in its first year, that is, 25% of each Qualifying Payment. For a Church on an annual plan this is a single commission: $97.50 on Starter ($390 / year), $247.50 on Growth ($990 / year), or $622.50 on Scale ($2,490 / year). For a Church that pays monthly, commission accrues on each monthly payment as it is made, until 12 months after that Church's first payment.
• Earned on payment, not on interest. Commission is earned only when a Referred Church actually pays. Clicks, signups, and free trials earn nothing.
• Refund hold. Each commission is held for 30 days after the payment it was earned on, against our refund window.
• Void on reversal. If a payment is refunded or charged back, the commission earned on that payment is void. Where a commission has already been paid out to you, we may offset the amount against future commissions.
• No commission on your own organization. You earn nothing for your own organization, or an organization you control or are controlled by.
• No volume cap. There is no limit on the number of Churches you may refer.

5. Payment

• Schedule. We pay out monthly, in arrears, for commissions that have cleared the 30-day hold.
• Minimum. A payout runs when your cleared balance is at least $50. Below that, the balance rolls forward to the next month.
• Method. We pay by PayPal or bank transfer, using the details you provide. You are responsible for the accuracy of those details, and for any fees your payment provider charges you.
• Currency. All amounts are in US dollars.
• Taxes. You are responsible for all taxes on amounts we pay you. If you are a US person, we may be required to report payments to you and will ask for a completed Form W-9 before your first payout; if you are not a US person we may ask for a Form W-8BEN. We may withhold payment until we have what we are required to collect.

6. How you may promote OnArk

• Disclosure. You must clearly disclose your affiliate relationship wherever you promote OnArk, as required by the US FTC endorsement guidelines and any equivalent rules that apply to you.
• Honest claims. You may not make claims about OnArk that we have not published, guarantee outcomes, or misrepresent pricing, features, or your relationship to us.
• Brand terms.You may not bid on “OnArk” or confusingly similar terms in paid search, nor use OnArk's name or marks in a domain name, app name, or social handle.
• No spam. No unsolicited bulk email, comment spam, or automated posting. You must comply with all applicable laws, including the CAN-SPAM Act.
• No misrepresentation of self. You may not present yourself as OnArk, as an employee of OnArk, or as authorized to sell, contract, or set prices on our behalf.
• Materials. We grant you a limited, revocable, non-exclusive license to use our name, logo and approved marketing materials solely to promote OnArk under these Terms. That license ends when your participation does.

7. Relationship of the parties

You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. You have no authority to bind us, to sell on our behalf, or to make commitments to any Church. We are solely responsible for selling to, contracting with, invoicing, and supporting every Church.

Your participation is non-exclusive. Nothing here prevents you from promoting other products, including competing ones, or prevents us from working with any other affiliate.

8. Changes, suspension and termination

• Changes to these Terms. We may change these Terms. Material changes take effect 30 days after we post them or notify you. Commissions already earned before a change are governed by the Terms in force when they were earned.
• Ending participation. Either of us may end your participation at any time, for any reason, on written notice.
• What survives. On termination we will pay commissions already earned and not voided, on the normal schedule and subject to the $50 minimum. Your license to use our marks ends immediately and you must stop presenting yourself as an affiliate.
• Suspension for cause. We may suspend participation and withhold payment where we reasonably believe Section 6 has been breached or attribution has been manipulated, while we investigate.

9. Confidentiality

Non-public information we share with you about our business, customers, pricing or product remains ours and must not be disclosed or used outside the Program. This does not cover information that is public through no fault of yours, that you already had, or that you are legally required to disclose.

You must not disclose the identity or contact details of any Church to any third party except as necessary to make an introduction to us.

10. Church information

If you send us contact information for a Church or an individual, you confirm you have a lawful basis to do so and that any consent required has been obtained. You are responsible for your own compliance with applicable privacy law in how you collect and share it.

11. Representations

Each of us represents that we have the authority to enter into these Terms and that doing so does not breach any other agreement we are bound by.

12. Indemnity

You will indemnify and hold us harmless against claims, damages, and reasonable costs arising from your breach of these Terms, your promotional activity, or your misrepresentation of OnArk.

13. Disclaimer and limitation of liability

The Program is provided “as is.” We do not guarantee any volume of referrals, conversions, or earnings. To the fullest extent permitted by law, our total liability arising out of the Program is limited to the commissions payable to you in the 12 months preceding the claim.

14. General

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising out of the Program. Before filing a claim, you agree to contact us and try to resolve it informally for 30 days. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement about the Program and supersede any prior discussion of it.
